POSITION SYNOPSIS:

This newly created position of Legal Counsel, South Africa, will be responsible to provide direct and independent legal advice to the South32 South African Operations (hereafter “Client Group”). This role will report to the Manager Legal, based at South32’s office situated in Melrose Arch, Johannesburg.

In this role you will be required to identify legal risks and opportunities and managing these in accordance with the values, strategy and commercial objectives of South32.

REQUIREMENTS:

• Serious contenders will be a South African legally qualified and practising lawyer or experience in a top tier law firm and/or in-house/secondment with 5+years post admission as an Attorney of the High Court of South Africa;
• General legal experience in the South African resources and energy sector;
• Developed understanding of business and legal issues associated with mining tenure and industrial operations approvals, and regulatory compliance;
• Experience in transaction document development, drafting and negotiations with counterparties;
• Extensive commercial/corporate law experience;
• Procurement of gas and electricity (supply and transportation);
• Construction contracting, logistics and technology contracting;
• Ports, rail, infrastructure advice and contracting;
• Disputes, litigation (Courts and ADR) and regulatory investigation experience;
• Health, safety, environment and community incident response and investigations experience;
• JSE Listing rules and regulations experience is advantageous;
• Exploration joint venture and associated activity experience is advantageous;
• Global compliance experience (competition, anti-corruption, trade sanctions and privacy) is advantageous.

CORE ACCOUNTABILITIES:

• Establish and maintain relationships with the Client Group and lead as  key point of contact for legal matters;
• Support the identification of legal risks affecting the Client Group and advise on the management of those risks;
• Support the Manager Legal Operations South Africa;
• Provide independent legal advice to the Client Group on
• strategic and complex commercial opportunities and business risks  forming part of South32’s portfolio;
• Provide independent legal advice to the Client Group in relation litigation, prosecution, and   alternative dispute resolution processes;
• Provide legal support to the Commercial, Marketing and Supply teams;
• Provide legal support to the Client Group specifically in relation to mining and industrial tenure and all matters associated therewith ;
• Support the development of the South32 Legal Business Plan consistent with the South32 Legal Operating Model and co-ordinate delivery against the Plan;
• Deliver training for the Client Group on legal matters and legal developments (law reform) pertaining to the activities of the Client Group;
• Contribute to continuous improvement activities within the Legal Function;
• Supports regular reporting to the Client Group to ensure that the Client Group is updated on material issues;
• Provides input into reporting templates and requirements to support the Manager Legal Operations.
