TRT seeks the services of a Legal/Transactional Advisor who shall provide continuous legal
support to ensure the company is legally compliant with its mandate. To achieve this, the
scope of work is as follows:
The Legal Advisor shall provide continuous legal support to the client to ensure the company is fully operational and financially sustainable.
Advising company policies, including financial, HR, operational, legal and procurement.
Management of existing governance structures.
Advising on the preparation for the negotiations for a fee per kilometer on behalf of the affected operators as stipulated in the NLTA (National Land Transport Act).
Providing an advisory role to the affected operators in the negotiations for the conclusion of the Bus Operating Company Agreement with specific focus on the fee per kilometer.
Represent the interests of the affected operators during processes of procurement in support of the value chain principles agreed to with TRT.
To ensure optimization of benefits to TAOI (Pty) Ltd, which is a company established to benefit the affected operators.
Advising on the management of the existing financial contracts with the Development Bank of South Africa (DBSA).
Providing training and skills transfer to the affected operators on aspects relating to shareholding.
Overseeing the corporatization of the affected operators from an informal business operations model into a formal business structure.
The Legal Advisor shall be expected to work with the Financial and Technical Advisor as part of the Transaction Advisory Team to TRT.
The Legal Advisor shall have a good understanding of and be able to advise TRT on all laws and transport laws affecting the TRT business.
The Legal Advisor will be appointed and serve as a Trustee of the company and will fulfill duties outlined in the Trust Deed and Trust Property Control Act 57/191988.
The Legal Advisor shall comply with any code of conduct of their profession and to be seen to maintain independence when rendering services and forming business relationships with their clients.
The Legal Advisor is at all times precluded from rendering services to or forming business relationships with any companies that are affiliates of TRT.
Profiles of candidates must include details of previous/current experience of not less than seven (7) years in activities outlined under scope of work.
References and other forms of proof of experience, quality of work and reliability shall be required to attest to previous experience.
Credentials and integrity vetting shall be instituted on the successful candidate before an offer of contract is made.
No correspondence shall be permitted with any interested party about the selection process if it is not initiated by the contracting party. This is to ensure transparency and undue influence on the outcome.
Desired Experience & Qualification
LLB qualification in law and a minimum of seven (7) years’
experience in legal practice
