Contract Management

Advising directors and officers on director duties emanating from the Companies Act, King Report and other regulatory and statutory requirements.
Advising the board on corporate governance principles and the implementation of governance programs and risk management frameworks.
Monitoring the actions, policies, practices and decisions of the company in relations to its agents and stakeholders that they are in compliance with good corporate principles.
Providing the directors of the company collectively and individually with guidance as to their duties, responsibilities and powers. Compliance and Risk management
Develop, implement and co-ordinate the company’s risk management strategy.
Developing, implementing, communicating and maintaining governance, risk and compliance policies, processes and procedures.
Conduct or direct investigation of compliance issues.
Management of corporate reputational risk.
Management of the quality of information flow within the company in support of good board performance and oversight role in the company.
Management of conflicts of interest, transparency and accountability to shareholders in the enhancement of directors’ duty to act in good faith and in the company’s best interests.
Direct the development or implementation of compliance-related policies and procedures throughout the organization.
Verify that all company and regulatory policies and procedures have been documented, implemented and communicated.
Design or implement improvements in communication, monitoring, or enforcement of compliance standards.
Provide employee training on compliance related topics, policies and procedures.
Provide assistance to internal or external auditors in compliance reviews issues.
Commercial Law
Review and provide legal advice on MOUs, Contracts, and tender documents.
Review ongoing cases and advise management accordingly.
Liaise with relevant departments to ensure that where legal risks have been identified, appropriate courses of action have been taken.
Provide legal protection and risk management advice to management especially on contract management.
Provide and interpret legal information, conduct training and disseminate appropriate legal requirements to staff.
Policy development:
Review and draft contracts, agreements and internal policies and ensure that they are in compliance with all statutory or legal requirements.
Contract Litigation management
Review progress of outstanding litigation and liaise with and manage external lawyers.
Identify local needs and develop efficient resources smart solutions including developing network of outside counsel and pro-bono relationships.
Develop, assess and negotiate contracts on non-disclosure, consulting service, consignments, terms and conditions and commercial documents for business units in the company.
Review and negotiate all company contracts.
Reduce company’s contract risk by advising accordingly.
Desired Experience & Qualification
A BA/BCom Law with a 2 year LLB degree or a 4 year LLB degree
Admitted attorney.
A minimum 5 years of related experience, post articles.
Strong corporate or commercial experience with exposure to contracts and experience in drafting thereof.
