Mission of the Department:
To ensure WWF International and its offices operate in compliance with applicable laws and regulations, and to identify, mitigate and advise on legal risks and to defend and protect WWF’s interests, including advising on litigation and other contentious matters; to advise on institutional matters, including governance and WWF Network matters and agreements; to protect and register WWF trademarks and brands globally; to design and implement global compliance and ethics framework, including whistleblowing process and investigations.
This position will be a member of the legal team of WWF-International and plays a key role in managing legal risk within the WWF International Managed Offices across Africa and other regions if and where required. Accountable for providing legal advice to WWF International, Regional Africa Leadership Team and WWF-International Managed Country Offices in Africa, and possibly in other regions, on a wide range of legal issues and agreements to ensure compliance with applicable laws and regulations, and to identify, mitigate and advise on legal risks and issues. Provides a full range of in-house legal services, with emphasis on review and legal risk screening of various types of contracts. Advises General Counsel in a proactive manner on potential legal risks and issues and works closely with the COO, Africa on matters occurring within the Africa region. Supports the General Counsel in advising on institutional matters and governance, relevant to WWF-International Managed Country Offices. Advises on organization-wide legal compliance, including data privacy.
Major Duties and Responsibilities:
Ensures robust advice on legal and risk issues.
Provides expert advice on various types of contracts drafting and – negotiation, including identifying and mitigating programmatic and operational legal risks, developing appropriate strategies and work plans to address such risks, and managing implementation of those strategies and work plans.
Responsible for the review and legal risk screening of contracts project implementation agreements, consulting agreements, MOU’s and various other types of agreements.
Ability to evaluate and revise contracting procedures and contracts compliance, in consultation with the General Counsel.
Develops agreement templates and template clauses.
Assists General Counsel in cultivating and developing an external network of outside counsel across Africa, and possibly across other regions, and building a pro bono network.
Conducts and commissions research and analysis of specific legal questions and prepares memoranda, opinions and position papers upon request of the General Counsel if necessary. Additional tasks and responsibilities as requested by the General Counsel.
Master degree in law, ideally Bar degree; At least 8 – 10 years of legal experience in Africa, including strong experience in drafting and negotiating contracts in the private sector and/or NGO sector; Excellent analytical judgment, with an ability to assess risk and provide alternatives; Excellent written and spoken English and French.; Able to work independently as well as work effectively as a member of a team; Able to effectively support intra-organizational teams in compliance-related activities.
