PURPOSE OF THE JOB The successful candidate will provide legal support and legal advisory services to ensure that sefa achieves its mandate in a legally compliant manner where all legal risks have been sufficiently managed or mitigated.
DUTIES The Legal Advisor will be required to perform the following non-exhaustive list of duties:
Drafting and Vetting Agreements
Legal drafting, vetting and review of commercial agreements, including but not limited to security agreements, loan agreements, facility letters etc.
Conducting legal due diligence investigations
Provision of sound legal opinions for all commercial transactions for submission to relevant committees for consideration and approval.
Undertaking complex research and drafting legally compliant opinions.
Consultations with internal and external clients regarding negotiating of contractual terms in conjuction with Investment Officer/ Business Analyst.
Negotiate settlements with clients.
Ensure that legal risks are assessed and managed and/or mitigated in all transactions to ensure that sefa's exposure is managed.
Assist with advice at Risk related forums, as and when required.
Provide legal direction and advice that considers prevailing legal prescripts and ensure that decisions are taken within the relevant legislative parameters and considering legislative compliance.
Attend to litigation aspects in respect of debt recovery process and in all matters relating thereto.
Attend to litigation of whatever nature as the business needs of sefa require
EDUCATION AND EXPERIENCE:
LLB degree (or such other law degree recognised by the Law Society of South Africa).
Admission as an Attorney.
3 years' post-admission experience as an attorney, preferably in commercial and financial services sector law
Exposure to or knowledge of SME / development finance sector preferred.
Commercial Litigation experience would be advantageous.
Strong corporate and company laws skills.
Good drafting skills etc.
Sound knowledge of governance issues.
Knowledge of applicable legislations such as the Constitution, Companies Act, NCA, Insolvency Act, PFMA, PAJA, PAIA etc
