A cutting-edge consolidation of companies is looking for a General Counsel and Company Secretary.
The position will be an integral member of Group’s leadership and will be a member of Exco. This position will provide a service to the Company's Group of companies.
The person will ensure that the Company always operates within the law, offers counsel on legal issues, acts as effective guardian of the organisation and facilitates business strategies development. The successful candidate will be able to ensure legal compliance and limit risk exposure.
Duties & Responsibilities
The responsibilities include performing and/or overseeing the following duties:
This includes keeping abreast with developments in the law and advising as such. You will: - develop, the annual functional plan for endorsement by the company’s Exco - Ensure the execution of contracts and other legal commitments are in accordance with relevant company and group directives and generally accepted good governance standards and if not, ensure appropriate remedial measures are put in place.
Creating associations of trust and respect with key internal stakeholders
Managing external parties (regulators, business partners, external counsel, clients)
Attracting, developing, directing, motivating and driving performance from team
Assisting with the allocation of work to resources when the volume of work increases or there is a shortage of resources, to ensure that the prioritised deliverables are met
Drafting and/or oversee drafting of agreements that maximize the Group’s strategic objectives while minimizing risks and maximizing legal rights
Dealing with complex, significant matters that cut across legal and related areas
Assisting with negotiating of commercial contracts or agreements;
Drafting legal and corporate documents including opinions and memoranda;
Advising the business units on laws and regulations applicable to the commercial transactions and keep them informed of the latest legal and regulatory developments as well as best practice;
Carrying out research on legal and regulatory issues relating to the company’s products/services and ensure compliance with applicable laws, regulations and company policies;
Undertaking due diligence on potential business partners and service providers;
Attending meetings with different stakeholders;
Making the directors aware of their duties, responsibilities and powers as per the Companies Act and other relevant regulations;
You will also need to provide leadership to the Legal team to ensure appropriate people development and engagement processes are in place to drive Functional Excellence in respect of the Legal team.
Ensure contracts are finalized within specified timeframes
Provide accurate feedback to business and executives on contracts drafted and related matters.
Working on Ad Hoc Projects
Prepare monthly reports to the Executive on Agreement progress
Accurate reporting to management
Desired Experience & Qualification
Minimum 12 years’ experience in corporate and commercial law (preferably at a financial services, technology or investment institution);
Minimum of 5 years in a management role
B Com Law or LLB from a recognised university as a minimum;
South African qualified and admitted Attorney with a good standing
Knowledge of the Companies Act and related legislation
Knowledge and application of the King Code
Knowledge of business law, commercial and corporate law
Proven legal experience in a corporate environment
