Johannesburg based Mining and Mineral Company seeks a Legal Advisor
Duties & Responsibilities
The drafting and vetting of contracts, agreements and legal documents of high quality.
The provision of ongoing legal advice to the Group in respect of all areas impacting on the Group; to include advice with regard to any new legislation that could have an impact on the Group and its operations. This would include, for example, relevant significant amendments to the legislation governing environmental, health and safety, environmental and mining issues.
All relevant assistance in relation to general compliance and corporate governance.
The review of standard documentation used within the Group. This would include items such as contracts with sub-contractors, the standard trading terms and conditions adopted bysubsidiaries, disclaimers etc.
Perusing tender documents and formulating tender conditions
Formulating and closing out contractual claims..
Managing of litigation portfolio.
Extensive knowledge of contracts (specifically service/supply agreements)
Contract risk analysis and drafting of risk summaries.
Negotiation experience to finalise contracts.
The ability to rapidly determine key issues and any conflicts or dispute
The ability to deliver solutions to a wide range of challenging situations.
Exposure to the following: service level agreements, maintenance agreements, management agreements; acquisition/ sale agreements (property, equipment etc) leases ((property/operating leases/finance leases etc), financial agreements, shareholder agreements, subscription agreements, supply of goods and purchase agreements, transport agreements, warehousing agreements, mining, engineering and construction agreements
B. Com LLB or LLB.
3-7 Years of (post article) Experience
Must be experienced in the law of contracts;
Be an exceptional drafter capable of drafting contracts of high quality.
Industry Experience in mining, engineering and/or construction (NEC/FIDIC experience a plus).
