Recent project and infrastructure deals lead by Manokore
Invictus Energy: Advising, and assisting, the client in respect of their acquisition of a controlling interest in a Zimbabwean hydrocarbons company which holds a Special Grant for the exploration of hydrocarbons, in respect of the development of resource deposits, and the evaluation of the geophysical and geotechnical composition of the mineral resources owned by the target.
The work undertaken in respect of this transaction included, reviewing and amending the heads of agreement between the parties, conducting a legal due diligence on the target, drafting the transaction documents (including the share subscription agreement and shareholders’ agreements), obtaining regulatory approvals for the transaction, and assisting with negotiations between the parties and the Ministry of Mines and Mineral Development. It also involved the National Project Status application and continued advice through seismic analysis through to IPO and beyond.
Beitbridge Border: Post expansion and modernisation project. Manokore Attorneys is currently acting as the lead local counsel to Zimborders Consortium. Zimborders was awarded the US$240 million project following a competitive bidding process and engaged Manokore Attorneys as its lead legal advisors in Zimbabwe.
